1. Overview and Acceptance
Welcome to our Doctor's Office Affiliate Program (the "Program"). By submitting your application and participating in the Program, you (the "Affiliate" or "Practice") agree to abide by these Terms and Conditions. The Program is managed via Enlistly, which handles all affiliate tracking, creative resource hosting, and commission payouts.

2. Healthcare Law & Regulatory Compliance
Given the nature of the healthcare industry, Affiliate participation is strictly subject to federal and state healthcare laws.

Anti-Kickback Statute (AKS) & Stark Law: Commissions are paid solely for out-of-pocket retail purchases made directly by consumers. **No commissions will be paid for any products, items, or services that are reimbursable, in whole or in part, by any federal or state healthcare program** (including Medicare, Medicaid, TRICARE, or CHIP).

Independent Medical Judgment: Affiliate agrees that participation in this Program will not interfere with their independent medical judgment. Products should only be recommended when they are in the best clinical interest of the patient.

State Regulations: Affiliate is responsible for ensuring that participating in a commission-based retail affiliate program complies with their specific state medical board regulations, anti-fee-splitting laws, and professional ethics guidelines.

3. FTC Disclosure Requirements
In accordance with Federal Trade Commission (FTC) guidelines, Affiliates must transparently disclose their financial relationship with our brand when recommending products.

* Any time an affiliate link, QR code, or discount code is shared (verbally, digitally, or via printed brochure), the Affiliate must clearly and conspicuously disclose that the Practice receives a financial commission if a purchase is made.

* Disclosures must be communicated clearly to the patient prior to the point of purchase.

4. Enrollment, Tracking, and Commissions

Account Setup: Registration requires a valid email, physical address, and preferred discount code. Upon approval, Affiliates receive Enlistly dashboard access, a custom QR code, a tracking link, and an initial package of physical samples and brochures.

Commissions: Affiliates earn a standard commission of **15%** on qualifying net sales (excluding taxes, shipping, and returns) generated directly through their assigned Enlistly link, custom QR code, or assigned discount code.

Attribution:Sales are only credited to the Affiliate if the customer uses the Affiliate's specific tracking mechanisms at the time of purchase.

5. Payouts and Payment Methods

Payment Options: Upon generating your first successful sale, you must select your preferred payment method within the Enlistly portal. Available options include PayPal, physical check, and ACH transfer.

Payout Frequency: Commissions are calculated, reviewed, and paid out on a monthly basis. We reserve the right to withhold payouts if suspicious, non-compliant, or fraudulent activity is detected.

6. Marketing Guidelines and Medical Claims

Approved Materials: Affiliates must only use the digital and physical marketing materials, creatives, and brochures provided or expressly approved by our team.

No Unsubstantiated Claims: Affiliates may not make any false, misleading, or unsubstantiated medical claims, nor guarantee specific health outcomes or permanent cures related to the products.

7. Independent Contractor Status
Participation in this Program does not establish an employment, joint venture, agency, or partnership relationship. Affiliates act entirely as independent contractors and are responsible for their own taxes on any commissions earned.

8. Modification and Termination
We reserve the right to update or modify these terms at any time. Active affiliates will be notified of material changes. We also reserve the right to immediately terminate an Affiliate’s account and forfeit unpaid commissions if the Affiliate violates any FTC guidelines, healthcare regulations, or marketing rules outlined in this agreement.
