Terms and Conditions for the FOLIGAIN INTERNATIONAL Brand Ambassador Program

Introduction

Welcome to the FOLIGAIN INTERNATIONAL Brand Ambassador Program (the "Program"). By participating in the Program as an affiliate or influencer, you agree to comply with these terms and conditions ("Terms"). Please read them carefully before joining the Program. If you do not agree with any part of these Terms, you may not participate in the Program.

Eligibility

Residency: Participants must be at least 18 years old.

Platform Requirements: Ambassadors must maintain active and public social media accounts or other digital platforms (e.g., blogs, websites) relevant to the Program’s goals.

Content Standards: Participants must adhere to FOLIGAIN’s guidelines for creating and sharing content.

Program Participation

Ambassador Role: As a Brand Ambassador, you are responsible for promoting FOLIGAIN products to your audience in a truthful and ethical manner.

Approved Content: Content must be pre-approved by FOLIGAIN or adhere to provided guidelines. Ambassadors may not make false claims or misrepresent the products.

Compliance: Ambassadors must comply with all applicable laws, including but not limited to advertising and disclosure requirements (e.g., including "#ad" or "#sponsored" in promotional posts).

Compensation and Rewards

Affiliate Links: Ambassadors will receive unique affiliate links to track sales or referrals.

Commissions: Ambassadors earn commissions based on referred sales as outlined in their onboarding documentation.

Payment Terms: Commissions will be paid monthly, provided the minimum payout threshold is met. Payments are subject to verification of referred sales.

Taxes: Ambassadors are responsible for reporting and paying any applicable taxes on their earnings.

Restrictions

Territorial Limitation: The Program is primarily for Canadian-based customers. Ambassadors may not target audiences outside Canada, especially in regions where FOLIGAIN does not operate (e.g., the USA).

Prohibited Activities: Ambassadors may not engage in any activities that harm FOLIGAIN’s reputation, including but not limited to spam, misleading advertising, or unethical practices.

Confidentiality: Ambassadors agree to keep all non-public information about FOLIGAIN’s products, strategies, and operations confidential.

Intellectual Property

Usage Rights: FOLIGAIN grants Ambassadors a limited, non-exclusive, revocable license to use trademarks, logos, and approved marketing materials for the sole purpose of promoting FOLIGAIN products.

Ownership: All intellectual property remains the property of FOLIGAIN. Ambassadors may not modify or misuse FOLIGAIN’s intellectual property.

Termination

Voluntary Exit: Ambassadors may leave the Program at any time by notifying FOLIGAIN in writing.

Termination by FOLIGAIN: FOLIGAIN reserves the right to terminate any Ambassador’s participation in the Program at its discretion for non-compliance with these Terms or any actions deemed harmful to the brand.

Effect of Termination: Upon termination, Ambassadors must cease using FOLIGAIN’s intellectual property and remove all promotional content.

Limitation of Liability

FOLIGAIN is not responsible for any damages, losses, or injuries resulting from participation in the Program. Ambassadors participate at their own risk.

Modifications to the Terms

FOLIGAIN reserves the right to update or modify these Terms at any time. Changes will be communicated to Ambassadors via email or through the Program portal. Continued participation constitutes acceptance of updated Terms.

Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in courts located in the United States.
